1. Introduction

These Terms and Conditions (the "Terms") govern participation in the Lens and Family Holiday Hackathon (the "Hackathon"), organized by Lens Labs Ltd (the “Organizer”). By registering for or participating in the Hackathon, you (the "Participant") acknowledge and agree to be bound by these Terms.

2. Eligibility

2.1 Participation in the Hackathon requires a valid Github profile. Participants who do not have a Github profile may create one at www.github.com. Creation and use of a Github profile are subject to Github’s terms of service and privacy notice.

2.2 Participants must be at least eighteen (18) years of age at the time of registration. By registering, Participants represent and warrant that they meet this age requirement.

2.3 The maximum number of Participants permitted per team is four (4).

3. Hackathon Timeline

The Hackathon shall be conducted in accordance with the following schedule (all times are Central European Time, “CET”):

  • Kickoff: December 16, 2024, at 4:00 PM CET.
  • Hacking Ends: January 7, 2025, at 4:00 PM CET.
  • Voting/Judging Period: January 8, 2025, at 4:00 PM CET to January 12, 2025, at 4:00 PM CET.

4. How to Enter

4.1 To participate, Participants must:

  • Build a project utilizing the Lens network on Testnet.
  • Utilize $GRASS Testnet Tokens where applicable.
  • Submit any issues encountered to the Lens Github Repo.
  • Follow the submission process outlined in the README of the Lens Github Hackathon Repo.

4.2 Submissions must be made via the Lens Github Hackathon Repo. Any submissions not complying with the submission process or repository requirements shall be deemed ineligible.

5. Submission Requirements

5.1 All submissions must meet the following criteria:

  • Be open source and available for public review.
  • Include only code created during the Hackathon period, beginning December 16, 2024, at 4:00 PM CET. Use of pre-existing code is strictly prohibited.
  • Comply with the submission deadline of January 7, 2025, at 4:00 PM CET. Submissions containing commits timestamped after the deadline shall be disqualified.

5.2 Final submissions must include:

  • A README file providing a clear and concise overview of the project.
  • A functional prototype of the application.
  • A demonstration video or slide deck, with the option for Participants to anonymize their voice or refrain from appearing on camera.

5.3. Any submission must not contain: a) malicious code, malware, or other harmful software components, b) content that infringes on intellectual property rights, including but not limited to copyrights, trademarks, or patents, c) content that violates privacy rights or contains unauthorized personal information, d) offensive, discriminatory, or inappropriate content, including but not limited to hate speech or violent material (as defined by the Organizer), e) content that promotes, encourages, or provides instructions for illegal activities, and f) content that violates the terms of service of any third-party platforms, services, or APIs used in the submission.

6. Judging and Voting

6.1 Judging shall be conducted via the Jokerace platform by allowlisted members of the Lens community and the Lens and Family teams (the "Judges").

6.2 Participants must submit their projects to Jokerace for inclusion in the voting process. Submissions not entered into Jokerace shall be deemed ineligible for judging.

6.3 Voting shall occur from January 8, 2025, at 4:00 PM CET to January 12, 2025, at 4:00 PM CET. The decision of the Judges is final and binding.

6.4 The Organizer reserves the right to disqualify submissions in the event of sybil attacks, irregularities, or other violations of the voting process.

7. Prizes and Payment

7.1 All prizes will be paid in GHO stablecoin or other cryptocurrency as determined by the Organizer in its sole discretion. Participants must provide a valid compatible wallet address to receive any prize. The Organizer shall have no obligation to pay prizes in any other form or to any other medium.

7.2 By accepting a prize, each Participant: (i) represents and warrants that they have the necessary technical knowledge to receive and manage cryptocurrency, (ii) assumes all risks associated with the receipt and custody of cryptocurrency prizes, including but not limited to price volatility, wallet security, private key management, and transaction finality, (iii) acknowledges that cryptocurrency transactions are irreversible and the Organizer shall have no liability for prizes sent to incorrectly provided wallet addresses, (iv) accepts responsibility for any taxes, fees, or charges related to the receipt or conversion of their prize, and (v) must complete any required KYC/AML procedures before prize distribution.

7.3 Prize distribution will occur within a reasonable time days after winner announcement and successful completion of all required KYC verifications.

8. Promotional Activities

8.1 Participants are encouraged to promote their submissions via the following channels:

  • Lens or X (formerly Twitter), using the hashtag #LensHolidayHackathon.
  • Orb, within the club HolidayHackathon. (Orb can be downloaded to obtain a free Lens profile.)

9. Disqualification

The Organizer reserves the right to disqualify any Participant or submission that:

  • Violates these Terms or any applicable laws.
  • Includes code or material not created during the Hackathon period.
  • Fails to adhere to the submission or voting requirements.

10. Intellectual Property

10.1 Participants retain ownership of all intellectual property rights in their submissions.

10.2 All submissions must be licensed under the MIT License or a similarly permissive open-source license, permitting free use, modification, and distribution of the project. Participants must include the applicable license file in their submission.

10.3 By submitting a project, Participants grant the Organizer a non-exclusive, royalty-free, worldwide license to use, display, and promote the project in connection with the Hackathon.

11. Limitation of Liability

11.1 To the maximum extent permitted by applicable law, in no event shall the Organizer, its affiliates, directors, officers, employees, agents, partners, suppliers, or licensors ("Released Parties") be liable for any: a) indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, reputation, or other intangible losses, b) direct damages in excess of the greater of (i) amounts actually paid by the Participant to participate in the Hackathon or (ii) USD 100, c) any damages arising from (i) use or inability to use the Technology, (ii) unauthorized access to or alteration of submissions, (iii) statements or conduct of any third party during the Hackathon, (iv) any technical failures or interruptions, (v) bugs, viruses, or other malicious code transmitted during participation, or (vi) loss or corruption of data.

11.2 The limitations and exclusions in Section 11.1 shall apply regardless of: a) whether the Released Parties have been informed of the possibility of such damages, b) whether any remedy set forth herein fails of its essential purpose, c) the form of action, whether in contract, tort (including negligence), strict liability, or any other legal or equitable theory, and d) whether the damages were foreseeable.

11.3 Technological Risks: Participants expressly acknowledge and accept that: a) blockchain technology and the Technology are experimental in nature and provided strictly "as is" and "as available", b) participation may involve substantial technological risks, including but not limited to: (i) network failures, (ii) protocol modifications, (iii) cybersecurity vulnerabilities, (iv) technical bugs, (v) smart contract flaws, and (vi) regulatory uncertainty, c) the Organizer makes no warranties regarding the Technology's reliability, functionality, or fitness for any particular purpose.

11.4 Participant Assumption of Risk: Each Participant expressly: a) assumes all risks associated with (i) use of the Technology, (ii) participation in the Hackathon, and (iii) any related cryptocurrency or blockchain activities, b) waives any and all claims against the Released Parties arising from such risks, and c) acknowledges that participation is entirely voluntary and at their sole discretion and risk.

12. Indemnification

12.1 Each Participant agrees to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, damages, costs, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with: a) the Participant's participation in the Hackathon, b) any violation of these Terms, including but not limited to the Code of Conduct, c) any breach of the Participant's representations, warranties, or covenants under these Terms, d) any allegation that the Participant's submission or other content infringes, misappropriates, or violates any third party's rights, including intellectual property rights or privacy rights, e) any disputes between Participants or with third parties, f) any failure to comply with applicable laws or regulations, and g) any negligent or willful misconduct.

12.2 In connection with any claim subject to indemnification: a) the Organizer shall promptly notify the Participant of any claim, provided that failure to provide such notice shall not relieve the Participant of their indemnification obligations except to the extent of actual prejudice, b) the Participant shall immediately take control of the defense and investigation of such claim at their sole cost and expense, c) the Organizer shall reasonably cooperate with the Participant in such defense, at the Participant's expense, and d) the Participant shall not settle any claim without the Organizer's prior written consent, unless such settlement includes a full release of all Released Parties.

12.3 Participants are solely responsible for obtaining any insurance coverage necessary for their participation in the Hackathon. The Organizer does not provide any insurance coverage to Participants.

12.4 The indemnification obligations under this Section 12 shall survive: a) the completion or termination of the Hackathon, b) any termination of these Terms, and c) the Participant's participation in the Hackathon.

12.5 The indemnification rights contained herein are in addition to, and not in limitation of, any other rights and remedies available to the Released Parties under these Terms or applicable law.

13. Code of Conduct

13.1 All Participants in the Hackathon shall adhere to the following expected behaviors: a) demonstrate respect, kindness, and empathy toward all other Participants regardless of background, identity, or experience level, b) maintain professional and constructive communication that encourages collaboration and learning, c) properly acknowledge others' ideas and contributions, d) use appropriate language and behavior across all Hackathon spaces, e) contribute to an inclusive environment, and f) report conduct violations promptly to the Organizer.

13.2 The following behaviors are strictly prohibited and will result in immediate disciplinary action: a) any form of harassment, bullying, or discrimination, including but not limited to comments or actions regarding gender, sexual orientation, race, religion, disability, physical appearance, age, or technical expertise, b) intimidation or stalking of other Participants, c) unwelcome sexual attention or inappropriate physical contact, d) disruptive behavior during Hackathon events, e) sharing offensive content, f) deliberate intimidation or unauthorized sharing of private information, and g) cheating, plagiarism, or misrepresentation of work.

13.3 Professional Standards require Participants to: a) respect intellectual property rights and provide proper attribution, b) maintain transparency regarding submission originality, c) use professional language in all communications, d) follow security best practices, e) comply with all platform terms of service, and f) handle sensitive information responsibly.

13.4 Reporting and Enforcement procedures specify that: a) violations should be reported to the Organizer, b) all reports will be treated confidentially, c) investigations will be conducted promptly and fairly by the Organizer, d) consequences may include warnings, suspension, or disqualification, and e) serious violations may be reported to authorities.

13.5 This Section 13 applies to: a) all official Hackathon venues and events, whether physical or virtual, b) all official communication channels, c) all interactions between Participants related to the Hackathon, d) all submissions and content created for the Hackathon, and e) public communications about the Hackathon.

13.6 By participating in the Hackathon, Participants acknowledge that: a) they have read and understood this Section 13, b) they agree to comply with its terms throughout the Hackathon, c) violations may result in immediate termination of participation without refund, and d) the Organizer's decisions regarding violations are final and binding.

13.7 The Organizer reserves the right to modify this Section 13 at any time, with notice to Participants. Continued participation following any changes constitutes acceptance of such modifications.

14. International Sanctions and Regulatory Compliance

14.1 Participation in the Hackathon is contingent upon and subject to compliance with all applicable international sanctions, anti-money laundering statutes, export control regulations, and any other applicable laws, rules, and regulations (collectively, "Applicable Laws"). By participating in the Hackathon, each Participant hereby represents, warrants, and covenants that they are not a citizen, resident, or physically located in any country, territory, or geographic region that is subject to comprehensive sanctions, including but not limited to Cuba, Iran, North Korea, Syria, Venezuela, the Crimea region of Ukraine, and the so-called Donetsk People's Republic and Luhansk People's Republic regions of Ukraine (collectively, "Sanctioned Territories"); that they are not identified on any sanctions-related list of designated persons, including but not limited to the U.S. Treasury Department's Specially Designated Nationals List, the EU's Consolidated List of Persons, Groups and Entities Subject to EU Financial Sanctions, or the UK's Consolidated List of Financial Sanctions Targets (collectively, "Sanctions Lists"); that they will not use the Lens network or participate in the Hackathon in a manner that would constitute a violation of any Applicable Laws; and that they will not transact with any individual or entity identified on any Sanctions List or located in any Sanctioned Territory in connection with the Hackathon. Participants acknowledge and agree that they have an ongoing obligation to ensure continued compliance with these representations, warranties, and covenants and shall promptly notify the Organizer in writing of any change in circumstances that would render any such representation, warranty, or covenant inaccurate or incomplete.

14.2 The Organizer reserves the right, in its sole and absolute discretion, to disqualify any Participant or revoke any prize award if it determines that such Participant's participation in the Hackathon or receipt of a prize would violate any Applicable Laws or these Terms, to conduct any necessary due diligence or compliance checks to verify adherence to these Terms and Applicable Laws, to update, modify, or supplement the list of Sanctioned Territories or Sanctions Lists referenced herein without prior notice, and to take any other actions it deems necessary or appropriate to ensure compliance with Applicable Laws and these Terms.

14.3 Participants agree to cooperate fully with any compliance verification efforts undertaken by the Organizer and to promptly provide any information or documentation reasonably requested by the Organizer in connection with such verification efforts. Participants agree to cooperate with the Organizer by providing any requested information and documentation to verify the authenticity and compliance of their submissions, including but not limited to documents necessary to satisfy legal and regulatory requirements such as Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures. Required documentation may include government-issued ID, proof of address, and other relevant documents. Failure to pass KYC/AML checks will result in immediate disqualification.

14.4 Without limiting the generality of Section 14 (Indemnification), Participants agree to indemnify, defend, and hold harmless the Organizer and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to any breach of the representations, warranties, or covenants set forth herein. Participants acknowledge and agree that they are solely responsible for ensuring their own compliance with all Applicable Laws, that the Organizer shall have no obligation to inform Participants of their obligations under, or any changes to, such Applicable Laws, and that any guidance provided by the Organizer regarding compliance matters does not constitute legal advice.

15. Privacy

15.1 Data Collection and Processing. The Organizer collects and processes personal data of Participants solely to the extent necessary for: (i) managing participation in the Hackathon, (ii) verifying eligibility, (iii) conducting Know Your Customer (KYC) and Anti-Money Laundering (AML) checks for prize distribution, (iv) communicating with Participants about the Hackathon, and (v) complying with applicable legal obligations.

15.2 Categories of Personal Data. The personal data processed may include: (i) contact information (name, email address, phone number), (ii) Github profile information, (iii) identification documents and related information required for KYC/AML verification in case of prize eligibility, and (iv) any other information voluntarily provided by Participants during the Hackathon.

15.3 Legal Basis. The processing of personal data is based on: (i) the necessity to perform the agreement constituted by these Terms, (ii) compliance with legal obligations applicable to the Organizer, particularly regarding KYC/AML requirements for prize distribution, and (iii) the Organizer's legitimate interest in ensuring the proper conduct of the Hackathon.

15.4 Data Retention. Personal data will be retained only for as long as necessary to fulfill the purposes outlined in this Section 15 or as required by applicable law. KYC/AML-related data will be retained in accordance with applicable regulatory requirements.

15.5 Data Sharing. Personal data may be shared with: (i) service providers assisting in the operation of the Hackathon, (ii) KYC/AML verification service providers, and (iii) authorities where required by law. Any such sharing will be conducted in accordance with applicable data protection laws.

15.6 Data Security. The Organizer implements appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction.

15.7 Participant Rights. Participants may have rights under applicable data protection laws to: (i) access their personal data, (ii) correct inaccurate data, (iii) request deletion of their data, (iv) restrict or object to processing, and (v) data portability.

15.8 Required Information. Provision of personal data for Hackathon participation is voluntary. However, failure to provide required information may result in inability to participate in the Hackathon or receive prizes.

15.9 Cross-border Transfers. Personal data may be transferred to countries outside the Participant's country of residence. Such transfers will be conducted in accordance with applicable data protection laws and appropriate safeguards will be implemented.

16. Governing Law

These Terms shall be governed by and construed in accordance with the substantive laws of the Cayman Islands, without regard to its conflict of law principles.

17. Arbitration Clause

Any dispute relating to or arising out of this Agreement shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by a sole arbitrator appointed in accordance with the said Rules. No award or procedural order made in the arbitration shall be published. The place of arbitration shall be the Cayman Islands, and the language of the arbitration shall be English.

18. Miscellaneous

18.1 Entire Agreement. These Terms represent the entire agreement between the parties regarding the Hackathon and supersede all prior or contemporaneous agreements, proposals, discussions or communications, whether written or oral.

18.2 Severability. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the invalidity or unenforceability of such provision shall not affect the validity or enforceability of the remainder of these Terms. Participation in the Hackathon is void where prohibited, restricted or limited by law. Participants are solely responsible for ensuring compliance with all applicable laws, regulations and restrictions in their jurisdiction.

18.3 No Waiver. The Organizer's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Participants may not assign or transfer any rights or obligations under these Terms without the Organizer's prior written consent. The Organizer may freely transfer, assign or delegate these Terms or any rights or obligations hereunder without consent.

18.5 Relationship of Parties. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between the Organizer and any Participant.

18.6 Headings. Section headings in these Terms are for convenience only and shall not affect their interpretation.

18.7 Counterparts. These Terms may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

18.8 Notices. Notices to the Organizer must be in writing and sent to [email protected].

18.9 Amendments. No modification or amendment to these Terms shall be binding upon the Organizer unless in a written instrument signed by a duly authorized representative of the Organizer.

18.9 Force Majeure. Neither party shall be liable for any delay or failure to perform resulting from causes outside the reasonable control of such party, including but not limited to acts of God, war, terrorism, pandemic, changes in law or regulations, or failures of internet connectivity or telecommunications systems.
